ICL was born in 1979 as a

Steel Service Center.

Our activity is constantly growing thanks to the investment in human resources and technologies which allowed us to continuously improve and evolve throughout the years. The presence of a highly qualified team of people in charge of each specific department, together with computerized, automatic cut-to-length and slitting machines in both our plants, grants us the freedom to offer a complete range of products and services in order to meet each customer’s request, in full respect of their needs, whatever the field of production.

ORGANIZATION MODEL 231

ICL Spa promotes the principles of ethics and compliance with conviction. This commitment is pursued by all the top positions of the company, who work to spread these good practices at all levels..

It is a commitment to equip the company with the appropriate tools to protect itself, its reputation and the expectations of its stakeholders, with the intention of adapting to the widespread diffusion of a ‘culture of legality’.

Since 2024 ICL has adopted an organisation, management and control model (the ‘231 Model’) and a Code of Ethics to ensure fairness and transparency as for the management of activities and with the aim of preventing any crimes committed in the interest or to the advantage of the company. In this way, ICL Spa, in addition to adopting Legislative Decree 231 of 8 June 2001 (‘Decree 231/2001’) on the administrative liability of entities, protects the company’s reputation and meets the expectations of its stakeholders.

Model 231 includes a set of provisions and procedures and the incorporation of the principles of the Code of Ethics, as well as the institution of a Supervisory Board and a control system and the disciplinary system aimed at sanctioning non-compliance with Decree 231/2001, with Models 231 and the arrangement of Legislative Decree 24/2023 (Whistleblowing Decree).

SUPERVISORY BOARD

ICL Spa has introduced a Supervisory Board (‘OdV’) in accordance with Decree 231/2001 which has autonomous powers of initiative and control, with the specifical task of supervising the functioning and the adherence of the Models 231 and of updating them (art. 6, Decree 231/01).

The members of the ICL Supervisory Board are identified by the Sole Director and support the requirements of autonomy, independence, continuity of action, professionalism and honourableness.

The members are not financially or personally conditioned, they are not in situations of conflict of interest (even potential) with the company and they are selected from persons with appropriate professionalism in the field of liability of entities pursuant to Legislative Decree No. 231/2001 and/or risk prevention and management in relation to the characteristics of the company and/or internal auditing and internal control.

The duties of the Supervisory Board also include the prompt notification to the Sole Director of any critical issues in the implementation of Model 231.
